Agreement to these terms

These Terms of Service ("Terms") form a legal agreement between you and Zynitex ("Zynitex", "we", "us"). They govern your use of zynitex.com and any services you engage from us.

By accessing the site, submitting an enquiry, or engaging us for a project, you agree to these Terms. If you do not agree, please do not use the site or our services. If you accept on behalf of a company or other organisation, you confirm that you have authority to bind that organisation.

A signed proposal, statement of work, master services agreement, or non-disclosure agreement may add to or vary these Terms for a specific project. If there is a conflict, the signed project document prevails for that project.

02

Our services and proposals

We provide software design and development, websites, web applications, mobile apps, SaaS products, cloud setup, and related digital services. Information on the site is for general information only and is not a binding offer.

  • The scope, deliverables, assumptions, timeline, acceptance criteria, and fees for a project are set out in a written proposal, statement of work, or contract.
  • Work outside the agreed scope requires a written change order and may change the timeline and fees.
  • We may use employees, contractors, or specialist subcontractors. We remain responsible for the work we agree to deliver.
  • We may update, suspend, or withdraw parts of the website at any time. We do not guarantee that the site will always be available or error-free.
03

Quotes, estimates, and changes

Quotes are valid for 30 days unless the proposal says otherwise. They are based on the information you provide and may change if the requirements, platforms, content, or third-party services change. Estimates are good-faith projections, not fixed prices, unless we expressly confirm a fixed fee in writing.

If you request a change after work has started, we will explain the impact and issue a revised scope or change order. Additional work may be billed at our agreed hourly rate or as a fixed additional fee. A change may also move the delivery date.

04

Your responsibilities

To help us deliver on time and to a good standard, you agree to:

  • provide accurate information and timely feedback, content, access, approvals, and decisions;
  • ensure you have the rights and permissions needed for any content, data, trademarks, images, or third-party materials you give us;
  • keep your accounts, credentials, and systems secure, and tell us promptly about any suspected security issue;
  • maintain your own backups of data and materials you share or store outside our systems;
  • use the site and our services only for lawful purposes and not attempt to disrupt, scrape, reverse engineer, or gain unauthorised access to any system;
  • comply with the laws, regulations, platform rules, and industry standards that apply to your business.

If a delay or additional cost is caused by missing information, late approvals, or changes on your side, we may adjust the schedule or fees after informing you.

05

Fees, taxes, and payment

  • Fees, currency, payment milestones, and due dates are set out in the project agreement or invoice.
  • Taxes, including GST where applicable, are charged in addition to the quoted fees unless expressly included.
  • We may require an advance or milestone payments before starting or continuing work.
  • Overdue amounts may result in a pause or suspension of work. Where permitted by law, overdue amounts may accrue interest at 1.5% per month from the due date, and you may be asked to reimburse reasonable collection costs.
  • Fees for work already performed are non-refundable unless we agree otherwise in writing or the law requires a refund. Statutory consumer rights are not excluded.
  • Pre-approved expenses, third-party licences, hosting, subscriptions, and paid media are your responsibility unless the proposal says otherwise.

If a payment is reversed, charged back, or disputed without a valid reason, we may suspend access and recover the outstanding amount.

06

Intellectual property

The site, our brand, text, graphics, templates, code libraries, design systems, and other materials we create before or outside a client project are owned by Zynitex or our licensors and are protected by applicable intellectual property laws.

  • Client deliverables. On full payment, you receive ownership of the final deliverables that the project agreement says are assigned to you, subject to third-party rights.
  • Our background materials. We retain ownership of our pre-existing tools, frameworks, reusable components, know-how, and general expertise. Where these are embedded in a deliverable, you receive a non-exclusive, perpetual licence to use them as part of that deliverable.
  • Third-party components. Open-source, stock, fonts, APIs, plugins, and other third-party materials remain under their own licences. You are responsible for complying with those licences.
  • Your materials. You retain ownership of content, data, trademarks, and materials you provide. You grant us the limited rights needed to use them for the project.
  • Source code. Source code is transferred only if the project agreement says so and all fees are paid.

Unless the project agreement or an NDA says otherwise, we may show the project name, logo, screenshots, and a short description in our portfolio and marketing. You can ask us in writing to stop using it for new marketing materials.

07

Confidentiality

Each party may receive confidential or proprietary information from the other. The receiving party will use that information only for the project, protect it with reasonable care, and limit access to people who need it.

This obligation does not apply to information that is public, independently developed without use of the confidential information, or required to be disclosed by law. If disclosure is required, we will give reasonable notice where permitted. A signed NDA prevails over this section. Confidentiality obligations survive the end of the project.

08

Third-party services

Projects often rely on third-party hosting, databases, payment gateways, APIs, maps, fonts, analytics, open-source libraries, and other services. Those services are governed by their own terms and privacy policies. We are not responsible for their availability, performance, pricing changes, data practices, or acts.

We will tell you about material third-party dependencies we recommend, but you are responsible for reviewing and accepting their terms and for maintaining any accounts, subscriptions, and licences that are in your name.

09

Disclaimers

We will perform our services with reasonable skill and care. To the maximum extent permitted by law, the website is provided "as is" and "as available", without warranties of any kind, including fitness for a particular purpose, merchantability, or non-infringement.

  • We do not guarantee uninterrupted availability, error-free operation, or compatibility with every device, browser, or third-party service.
  • We do not guarantee traffic, search rankings, conversion rates, revenue, or any particular business outcome.
  • AI-generated or automated output may be inaccurate or incomplete and must be reviewed before you rely on it.
  • Nothing we provide is legal, tax, financial, medical, or other regulated professional advice. You are responsible for obtaining your own advice and for the compliance of your business.
10

Limitation of liability

To the maximum extent permitted by law, Zynitex is not liable for indirect, incidental, special, consequential, or punitive losses, or for loss of profits, revenue, goodwill, data, or business opportunity, even if we were told such loss was possible.

For paid services, our total aggregate liability for any claim arising from a specific service is limited to the total fees you paid us for that service in the 12 months before the event giving rise to the claim. Where you have not paid us for the use of the website, our aggregate liability is limited to INR 5,000.

Nothing in these Terms limits liability that cannot lawfully be limited, including liability for fraud, wilful misconduct, or death or personal injury caused by negligence.

11

Indemnity

To the extent permitted by law, you agree to indemnify and hold Zynitex harmless from third-party claims, damages, losses, and reasonable legal costs arising from:

  • content, data, trademarks, or materials you provide to us;
  • your breach of these Terms or a project agreement;
  • your unlawful or negligent use of the site or deliverables; or
  • the products, services, or business practices operated by you.

We will notify you of any such claim and may ask to participate in the defence, but we will not settle a claim in a way that admits liability on your behalf without your consent, where consent is reasonably possible.

12

Term and termination

These Terms apply while you use the site. A service engagement lasts as set out in the project agreement. Either party may terminate a service engagement as the agreement allows.

We may suspend or stop providing site access or services if you breach these Terms, fail to pay amounts due, create a security or legal risk, or require us to act contrary to law. On termination, you must pay all fees for work performed and approved up to the effective date. We will deliver work that has been paid for, subject to the project agreement.

Sections that by their nature should survive termination will continue to apply, including intellectual property, confidentiality, disclaimers, limitation of liability, indemnity, and governing law.

13

Governing law and disputes

These Terms are governed by the laws of India. Before starting formal proceedings, we ask that you contact us and give both sides 30 days to try to resolve the dispute in good faith.

Subject to any mandatory law, the courts at our registered office location in India will have exclusive jurisdiction over disputes arising from these Terms or our services. Nothing here prevents either party from seeking urgent injunctive relief.

14

General provisions and changes

We may update these Terms from time to time. The "Last updated" date shows when they changed. Continued use of the site after the effective date means you accept the updated Terms. If a change materially affects an active project, the signed project agreement will govern that project.

If any provision is found unenforceable, the remaining provisions continue in effect. A failure to enforce a right is not a waiver of that right. These Terms and any project agreement form the entire agreement between us on their subject matter. You may not assign your rights or obligations without our written consent. Neither party is liable for delays caused by events beyond its reasonable control.
